Below is an overview of the types of agreements we help our hospital and research institute faculty with:
Confidentiality Agreements or CDAs which are often used to protect the confidentiality of an invention as it is being evaluated by potential licensees. CDAs also protect proprietary information of third parties that our faculty need to review in order to conduct research or evaluate research opportunities.
Corporate Research Funding Agreements which describe the terms under which a corporate sponsor or licensee provides research support.
Inter-Institutional Agreements which describe the terms under which two or more institutions (e.g., between two academic institutions) will collaborate to assess, protect, market, license and share in the revenues received from licensing jointly owned Intellectual Property.
License Agreements which describe the rights and responsibilities of a party related to the use and exploitation of Intellectual Property developed here. They typically require that the licensee diligently seek to bring the intellectual property into commercial use for the public good and provide a reasonable return.
Material Transfer Agreements or MTAs which are used for materials incoming and outgoing from our campus. They describe the terms under which our faculty and outside researchers can share materials, typically for research or evaluation purposes. Intellectual property rights and liability can be endangered if materials are used without a proper MTA.

Option Agreements or option clauses within research agreements, describe the conditions under which our institution preserves the opportunity for a third party to negotiate a license for Intellectual Property. Option clauses are often provided in a Sponsored Research Agreement to corporate research sponsors or are entered into with third parties wishing to evaluate the technology prior to entering into a full license agreement.
For some of these agreements, OTT will work with other research administration offices, such as the office of pre-award support services, and will ensure that all activities are compliant with the Hospital’s conflict of interest in research policy.
